ARTICLE I. - NAME 
The Name of this organization shall be E. A. A. CHAPTER 59 WACO, Texas.

ARTICLE III - PURPOSE 
This corporation is a non-profit organization and shall be operated exclusively for educational, scientific and charitable purposes and to act as a repository of historical aviation material, to the extent consistent therewith shall:

i. Cooperate with and assist governmental agencies in the development of programs relating to aviation activities and to aid with educating the general public about these programs.

ii. Promote and encourage aviation education in the safety of design, construction, restoration and operation of all types of aircraft.

iii. Promote and encourage grass roots aviation efforts relating to research and development of all aviation related topics.

iv. Promote and encourage non-commercial aviation.

v. Promote and encourage young people to enter into aviation fields through education and association with aviation related activities.

vi. Serve as a central point to collect the aviation memorabilia about Central Texas and keep this historic material in the EAA Chapter museum. 

ARTICLE IV - MEMBERSHIP 
SECTION A. ELIGIBILITY OF MEMBERSHIP
Eligibility for membership in this organization is open to any person with an interest in aviation.

SECTION B. CLASSIFICATION OF MEMBERSHIP 
National EAA members must have paid their annual Chapter 59 dues to be in good standing. 

1. A Regular Voting member shall be any member of this organization in good standing. 

2. An Introductory member shall be any member of this organization in good standing without current membership in the Experimental Aircraft Association or a representative division of the Experimental Aircraft Association.  The Introductory Membership is intended to encourage new membership without requiring the extra expense of full membership in EAA. An Introductory membership offers full membership in our Chapter 59 of EAA. However, it is limited to a twelve month non-renewable period. Voting privileges are not extended to an Introductory member Further, an Introductory member may not hold any office in Chapter 59 until they meet the requirements of Regular Voting Membership. An Introductory member is encouraged to convert  to a Regular membership during this trial period. 

3. An Honorary or Complimentary member shall be any person nominated and voted to an Honorary or Complimentary membership in Chapter 59 by the Regular Voting members of this organization. Honorary/Complimentary members shall not be entitled to vote, nor shall they be eligible to hold any Office within the organization. Honorary/Complimentary members shall not be required to pay any dues to the organization. 

4.  A Special Member shall be any person nominated and elected by the Executive Officers of the organization to a special membership. This membership is intended to provide the Executive Officers of the organization the ability to extend the privileges of membership without any requirement that such person pay any dues to the organization or be a member of the Experimental Aircraft Association or a Division of the Experimental Aircraft Association. 

5.  A Family member shall be any person who is the spouse or child (18 years old or under) of any member of this organization. A Family member who is the spouse of a Regular Voting member shall be eligible to vote. 

 6.  A Student member is membership offered to any student. The dues will be adjusted to cover our chapter cost of sending the student the Newsletter. Student members may not hold elected office in Chapter 59 but they may be appointed to honorary positions within the Chapter. Student members may not vote. 

7.  Except for voting privileges, all members of the organization shall be entitled to and receive all benefits of membership in the organization and none shall be compensated for their duties. 

SECTION C. DURATION OF MEMBERSHIP 
 
1. Duration of Regular Voting membership shall be dependent upon the continued fulfillment of all the requirements that qualified the person for original membership.

2.   Introductory Membership shall be a one (1) year term and shall not be eligible for renewal. 

3. An Honorary/Complimentary Membership shall be for one (1) year following the date the person was nominated and elected by the Regular Members of the organization. In order to renew the Honorary/Complimentary membership the organization must take the appropriate steps to issue a new Honorary/Complimentary membership. 

4. A Special Membership shall be one (1) year following the date the person was nominated and elected by the Executive Officers of the organization. In order to renew a Special Membership, the Executive Officers of the organization must take the appropriate steps to issue a new Special membership. 

5. Duration of Family Membership shall be the same period of time as that of a Regular Member. 

6. Student members may extend their membership as a Student member as long as they can prove they are enrolled as a student. 

7.   Any member of the Chapter may resign from the organization at any time by providing written notice to any Executive Officer. 
 
8. Any member may be expelled from membership in the organization for committing one or more actions that damage or jeopardize the organization. Expulsion of any member shall require a seventy-five percent (75%) vote of the regular voting members of the organization in person or by proxy at a regular or special meeting of the organization. 
 
  

SECTION D. MEMBERSHIP DUES 
 
1.  The Chapter 59 dues shall be established from time to time by a vote of the Regular Voting members of the organization. In the event that a member of the organization discontinues his or her membership in the organization for reasons of death, resignation, or expulsion, the Executive Officers of the organization may at their discretion refund any or all portions of the former member's dues. 

 2.  The organization dues shall be paid to the organization's Treasurer. Dues shall be payable January 1st of each year and shall apply for a twelve (12) month period. Any member of the organization that fails to pay their appropriate dues by March 31 shall immediately forfeit all membership privileges until the dues for the full year have been paid. 

3.   Any person joining the organization during the calendar year shall pay a pro rata portion of the appropriate annual membership dues. 

4.  The Introductory member’s dues will be 1/2 the regular membership rate. 

5.   Student dues will be determined by the cost of printing and mailing the Newsletter.

ARTICLE VI - EXECUTIVE OFFICERS 
SECTION A. EXECUTIVE OFFICERS 
 

1. The Executive Officers of the organization shall be a President, Vice President, Secretary and Treasurer. 

2. The Executive Officers of the organization shall be elected at the regular scheduled meeting of the organization in the month of October of every even numbered year. 

3. The Executive Officers of the organization shall serve for a two (2) year term starting on January 1st following their election. 
 

 SECTION B. DUTIES OF THE EXECUTIVE OFFICERS 
 
President 

 The President shall be the Chief Executive Officer of the organization and of the Board of Directors. The President may call any special meetings of the Executive Officers or the Board of Directors and shall have, subject to the advice and consent of the Officers, and Board of Directors general charge of the business of the organization. The President shall execute with the Secretary all contracts and instruments which have been approved by the organization’s Executive Officers and or Board of Directors. In case of the absence or disability of the Treasurer, the President may execute checks for the expenditures authorized by the organization, Executive Officers and or the  Board of Directors 
 

Vice President 
 
The Vice President of the organization shall be vested with all the powers of, and shall perform the duties of the President in case of the absence or disability of the President. The Vice President shall also perform such duties connected with the operations of the organization as directed by the President. 
 

Secretary 
 
The Secretary shall keep and record the minutes of all proceedings of the Board of Directors and the general membership meetings. The Secretary shall insure that Texas form 401 (or other specified form) is filed to keep the chapter Registered Agent current with the State of Texas. The Secretary shall keep a proper membership roll showing the name of each member of the organization. The Secretary shall keep a book of Bylaws, and such other records, books and papers as the members or Board of Directors may direct. The Secretary shall execute with the President in the name of the organization, all contracts and instruments which have first been approved by the members or Board of Directors. The Secretary shall perform such duties connected with the operation of the organization as directed by the President, with the advice and consent of the members or Board of Directors. The Secretary shall insure members are notified of all meetings. 
 
 

Treasurer 

The Treasurer shall execute in the name of the organization all checks for expenditures authorized by members or the Board of Directors. The Treasurer shall receive and deposit all funds of the organization in a bank selected by the Executive Officers or Board of Directors. Such funds shall be paid out only by check requiring two signatures. The Treasurer shall also account for all receipts, disbursements, and balance on hand. The Treasurer shall perform such duties connected with the

Operation of the organization as directed by the President with the advice and consent of the members or Board of Directors. 

SECTION C. EXECUTIVE OFFICER VACANCIES 
If the office of the President, Vice President, Secretary or Treasurer becomes vacant for any reason, the Board of Directors shall elect a successor to hold the office for the remainder of the officer’s term. 

ARTICLE VII. - MEETINGS OF MEMBERS 
SECTION A. MEETING OF MEMBERS 

1. Meetings of the members may be held at such time and place as the President may determine, or may be called by a majority of the Board of Directors. Notice of meetings to the members, stating the time, place and in general terms the purpose of the meeting, shall be given to members no later than one day before the meeting. 

2. Any meeting where a vote will be taken for the adoption of resolutions, members will be notified in writing no less than five (5) days prior to the meeting. 

3. A minimum quorum of 20% of all members in good standing is required either in person or by proxy in order to conduct a meeting. 

 4. A majority vote of the members present is necessary for adoption of any resolution and for the election of a member to an organizational office. 

 5. The President, or in his or her absence, the Vice President, or the Secretary, or the Treasurer, or a Chairman elected by the members present shall call the meeting to order, and shall act as the presiding officer thereof. 

 6.   At any meeting of the members, each voting member shall have only one (1) vote. 
 

SECTION B. ANNUAL MEETING 
1. The annual meeting of the members will be the last regular meeting prior to November 1 of each year. 

2. Written notice of the annual meeting of the members shall be given to each member in good standing at least five (5) days before such meeting. 

 3. At the annual meeting the members shall elect the Executive Officers and Board of Directors.

ARTICLE VIII. – AMENDMENTS 

These Bylaws may be repealed or amended, or new Bylaws may be adopted at any meeting called for that purpose, or at the annual meeting of the members. The change will require a two-thirds majority vote of the voting members in good standing of the organization, in attendance or by proxy. 

ARTICLE X - DISSOLUTION 
This organization may be dissolved by a two-thirds majority vote of voting members in good standing of the organization. In the event the organization is dissolved, the President shall be responsible for turning all organizational assets over to the Experimental Aircraft Association, PO Box 3086, Oshkosh, Wisconsin 54903-3086, The parent 501( c ) 3 organization. 

ARTICLE XI. - ELECTIONS 
A Nominating Committee consisting of members of the Board of Directors will be appointed at the August meeting in the election year. The Nominating Committee shall interview the existing officers and members of the organization and shall select one or more candidates for each Executive Office and for positions to be filled for the Board of Director vacancies. It is important that the Nominating Committee review and be familiar with the responsibilities of each leadership position they are seeking candidates to fill. Selection of candidates will be presented to the membership at the September meeting and will be listed in the newsletter. The election will be conducted at the Annual (October) meeting 

ARTICLE XII. - BOARD OF DIRECTORS 
SECTION A. MEMBERS OF THE BOARD OF DIRECTORS 

Only persons who are members in good standing of the Experimental Aircraft Association and Chapter 59 shall be eligible to be a Director of Chapter 59. A failure to maintain good standing shall be considered to constitute a resignation from the Board of Directors. No compensation shall be paid to members for serving on the Board of Directors 

1. The power, business, and the property of the organization shall be exercised, conducted and controlled by the Board of Directors of Chapter 59. The Board of Directors shall have the power and authority to promulgate and enforce all rules and regulations pertaining to the use and operation of organization property and assets. The Board of Directors shall consist of seven to twelve members as follows: 

a. Class I Directors shall be those four persons who are the Executive Officers (President, Vice President, Secretary and Treasurer) of the organization as nominated and elected by the organization in accordance with these Bylaws. 

b. Class II Directors: There shall be one to three Class II Directors who shall be elected by the organizations members during the election in even numbered years. 

c. Class III Directors: There shall be one to three Class III Directors who shall be elected by the organizations members during elections conducted in the odd number years.

d. Class IV Directors shall be the most recent past Chapter President and Vice President. 

e. Alternate Director: The president may at his or her option appoint directors up to the maximum allowed by these bylaws. 

f.  Honorary Directors: The Newsletter Editor & the Web Site Editor shall be Honorary members of the Board of Directors. The Honorary positions on the Board of Directors will be in addition to the positions listed above. 

2. A director who fails to attend three consecutive properly scheduled Board of Director meetings will be deemed to have effectively tendered a resignation from the Board of Directors unless the Executive officers deem the absence was unavoidable. 

3. In the event that a director resigns, dies or otherwise becomes ineligible or unable to serve on the Board of Directors, the vacancy thus created shall be filled by a chapter member in good standing selected by the President. 

4. The fact that there are one or more vacancies on the Board of Directors at any time shall not affect the validity of any action taken by the remaining board members during the period of such a vacancy. 

5. Regular meetings of the Board of Directors shall be called at any time and place to be determined by the President. Special meetings of the Board of Directors shall be called at any time on the order of the President or on the order of not less than a majority of the Board of Directors. Notices of special meetings of the Board of Directors stating the time and, in general terms, the purpose shall be given to Directors not later than the day before the day appointed for the meeting.. Three Directors and at least two (2) current Executive Officers of the organization, shall constitute a quorum of the Board of Director at any Board of Director meetings. An affirmative vote of the majority of the Board of Directors shall be necessary to pass any resolution or authorize any act for the organization. 

6. All members of the Board of Directors who are not serving in an Executive Officer capacity (President, Vice President, Secretary or Treasurer,) will also serve as a member of at least one committee. This is intended to significantly involve the Board of Directors in the successful operation of the Chapter.
